MipMap Software Subscription Agreement

Welcome to use the services provided by Beijing Manman Xingtu Technology Co., Ltd. (hereinafter referred to as "the Company" or "we"). 3D Reconstruction Software MipMap Desktop Subscription Edition (hereinafter referred to as "the Software"). This "Software Subscription Agreement" (hereinafter referred to as "this Agreement") is a legal agreement between you (hereinafter referred to as "User" or "you") and the Company regarding your use of the 3D Reconstruction Software MipMap Desktop Subscription Edition service. Please read all terms of this Agreement carefully before downloading, installing, registering, or using this Software. If you do not agree to any content of this Agreement, please stop using the Software immediately.
1. Definitions
1.1 Software: Refers to the 3D reconstruction software product developed, operated, and provided by the Company, MipMap Desktop, including related documentation, updates, and additional features.
1.2 Subscription Edition: Refers to the version used through subscription plans, including monthly or yearly subscription packages, providing regular software updates, technical support, and services.
1.3 User: Refers to individuals or legal entities who accept and comply with the terms of this Agreement and download, install, use, or access the Software.
1.4 Subscription Service: Refers to the software usage service provided by the Company according to the subscription plan selected by the User, including but not limited to software usage rights, technical support, and update services.
1.5 Account: The personal account created by the User when registering on the software platform, used to log in and access the subscription services of the Software.
2. License Authorization
2.1 Scope of License
The Company grants the User a non-exclusive, non-transferable, and revocable license to use the Software during the valid subscription period, allowing the User to utilize all functions of the Software in compliance with this Agreement. This license is limited to personal or internal enterprise use of the Software and may not be used for illegal activities or other unauthorized purposes.
2.2 Prohibited Conduct
Users are prohibited from:
Reverse engineer, decrypt, crack, modify, translate, reconstruct, or extract source code from the Software;
Sell, sublease, transfer, or distribute any part of the Software in any form;
Use the Software for illegal activities, or interfere with or disrupt the normal operation of the Software;
Use the Software for illegal purposes or in violation of applicable laws.
3. Subscription and Payment
3.1 Types of Software Subscription Edition
3.1.1 Basic Edition: Standalone version of MipMap Desktop, can process up to 5,000 images per task, with full functionality.
3.1.2 Professional Edition: Standalone version of MipMap Desktop, can process unlimited images per session (limited by computer memory capacity), with full functionality.
3.2 Subscription Plans
The Company provides various subscription plans, including different software subscription editions and weekly, monthly, and other subscription options. Specific pricing, features, and service content may vary.
3.3 Subscription Fees
3.3.1 Users must pay the relevant fees according to the selected subscription plan. Fees must be paid in full before the subscription becomes effective.
3.3.2 All fees are prepaid on a subscription cycle basis and do not include applicable taxes.
3.3.3 Users agree to pay fees through the payment methods designated by the Company, including credit card, bank transfer, electronic payment, and other approved methods.
3.4 Subscription Cancellation
Users may cancel their subscription before payment of the subscription order. Once payment is completed, the subscription service is deemed to have commenced and will continue until the end of the subscription period.
3.5 Refund Policy
Subscription fees are generally non-refundable once paid, unless otherwise stipulated in this Agreement or required by applicable law.
3.6 Subscription Failure
If the user's subscription order cannot be processed for any reason during payment, such as insufficient funds or unavailable payment method, the subscription will be cancelled. Users may re-subscribe after resolving the payment method issues.
4. User Account and Security
4.1 Account Registration
Users must register an account on the software platform and provide truthful and accurate personal or company information to utilize the Software and its subscription services.
4.2 Account Security
Users shall properly maintain their account information (including username, password, etc.) and are responsible for all activities conducted under their account. Users must notify the Company immediately upon discovering any unauthorized use or account security issues.
4.3 Account Information Updates
Users are obligated to update their account information in a timely manner to ensure its accuracy and validity.
5. Software Updates and Technical Support
5.1 Software Updates
The Company will release updated versions of the Software as necessary. Subscription users may obtain all updated versions at no additional cost during the subscription period, including but not limited to feature enhancements, performance optimizations, and security fixes.
5.2 Technical Support
The Company will provide basic technical support to users during the subscription period, including:
5.2.1 Installation and configuration guidance;
5.2.2 Frequently asked questions;
5.2.3 Support for the use of software functions, etc. Support methods include email, online support, telephone support, remote desktop support, etc. For users registered in Europe (EU) and North America (NA), support is primarily provided via email. The specific support methods and timeliness are subject to the official instructions of the Company.
5.3 Service Interruption
The Company does not guarantee that the Software and related services will operate continuously and stably under all circumstances. Users acknowledge the possibility of unforeseeable service interruptions. The Company will provide reasonable advance notice to users and make best efforts to restore service.
6. Intellectual Property
6.1 Software Copyright
All copyrights, patents, trademarks, technologies, and other intellectual property rights related to this Software belong to the Company. Users only obtain a license to use the Software, and this license is non-transferable, non-sublicensable, and may not be authorized to others.
6.2 User-Generated Content
Users own all intellectual property rights to the 2D and 3D models and other content generated during the use of the Software, provided that the user complies with the terms of this Agreement.
6.3 User Feedback
Any feedback, suggestions, or ideas provided by users shall be deemed as the intellectual property of the Company, and the Company has the right to use, copy, modify, publish, or disclose such feedback as needed.
7. Privacy Policy
The Company promises to reasonably collect, use, and protect users' personal information in accordance with the "Privacy Policy". Users should comply with the relevant terms of the Company's privacy policy and agree that the Company may collect and use their personal information to provide software services.
8. Disclaimer and Limitation of Liability
8.1 Software Provided "As Is"
The Company makes no express or implied warranties regarding the suitability, reliability, performance, or stability of the Software. Users understand and agree that the risks associated with using the Software are borne entirely by the users.
8.2 Limitation of Liability
Under no circumstances shall the Company be liable for any damages arising from the use of the Software or subscription services, including but not limited to direct, indirect, incidental, special, or consequential damages.
8.3 Force Majeure
The Company shall not be responsible for service interruptions or software problems caused by force majeure events such as natural disasters, network failures, technical issues, or governmental actions.
9. Termination
9.1 User Termination
Users may terminate the subscription and stop using the Software at any time, but paid subscription fees are non-refundable.
9.2 Company Termination
The Company has the right to terminate or suspend the user's right to use in the following circumstances:
9.2.1 The user violates any terms of this Agreement;
9.2.2 The user fails to pay the subscription fee on time;
9.2.3 The user's behavior is suspected of being illegal or infringing the interests of the Company;
9.2.4 Other circumstances deemed necessary by the Company.
10. Governing Law and Dispute Resolution
10.1 Governing Law
The conclusion, execution, and interpretation of this Agreement are governed by the laws of the People's Republic of China.
10.2 Dispute Resolution
If a dispute arises, both parties should first resolve it through friendly negotiation; if negotiation fails, either party may file a lawsuit with the people's court with jurisdiction over the Company's place of registration.
11. Other Terms
11.1 Entire Agreement
This Agreement constitutes the entire agreement between both parties regarding the use of the software services. Any previous oral or written agreements that are inconsistent with this Agreement shall be subject to this Agreement.
11.2 Amendment of Agreement
The Company has the right to modify this Agreement at any time and publish the modified Agreement on the Company's official website. The modified Agreement will take effect from the date of publication. Continued use of the Software by the User will be deemed as acceptance of the modified terms.
11.3 Severability
If any provision of this Agreement is determined by a court to be invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.
